1. Introduction

Welcome to Gumliz.com (“Gumliz”, “we”, “our”, or “us”), a digital marketplace dedicated solely to the buying and selling of books. These Terms of Service (“Terms”) govern your access to and use of our website, services, and platform. By creating an account, browsing, listing, purchasing, or otherwise using the site, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

If you do not agree with any provision herein, you must refrain from accessing or using the site or any of its services.

2. Eligibility

By accessing Gumliz, you represent and warrant that you are at least 18 years of age or the age of majority in your jurisdiction, and have full legal capacity to enter into binding contracts. If you are accessing the site on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

3. Gumliz as a Neutral Marketplace

Gumliz provides an online venue through which independent sellers and buyers can connect to conduct transactions involving books. We are not a seller or reseller of any products listed by third-party vendors. All transactions are entered into directly between users, and Gumliz is not a party to those contracts.

We do not guarantee the quality, legality, accuracy, or condition of any product sold through the platform, and we do not assume responsibility for the actions or omissions of any user of the site.

4. Account Creation and Responsibilities

To access certain features of the platform, including the ability to list or purchase books, users must register for an account. Users agree to provide complete and truthful information during registration and to keep such information updated.

Each user is solely responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account. Gumliz reserves the right to suspend or terminate any account found to be in violation of these Terms or involved in suspicious activity.

5. Seller Conduct and Obligations

Sellers on Gumliz are expected to operate in good faith and to comply with the following obligations:

• Provide accurate, non-misleading descriptions of each book listed, including format, edition, condition, ISBN, and any relevant disclaimers.
• Only list items that are lawful to sell and do not violate copyright, trademark, or any third-party rights.
• Fulfill orders promptly and package books in a secure, professional manner with valid tracking information.
• Respond to buyer inquiries and disputes with professionalism and timeliness.

Failure to meet these expectations may result in account suspension, removal of listings, withholding of payouts, or legal consequences.

6. Buyer Conduct

Buyers agree to thoroughly review item listings prior to purchase, to ensure compatibility with their needs. Buyers must provide accurate shipping and payment information and may not attempt to reverse legitimate transactions or file fraudulent claims.

Gumliz expects all users to resolve disputes amicably when possible. However, platform mediation may be requested in certain cases, subject to our discretion.

7. Payments, Fees & Payouts

Gumliz charges sellers a commission on each successful sale, as outlined in our Seller Guide. Additional fees may apply for optional marketing or promotional tools.

Payments are processed via trusted third-party payment processors. Gumliz temporarily holds funds until fulfillment and delivery confirmation are verified, after which net payouts are released to the seller’s registered payout account. Gumliz is not liable for delays caused by payment processors, banks, or regulatory issues.

It is the responsibility of each seller to report and remit applicable taxes to the appropriate tax authorities, unless Gumliz is legally required to collect and remit sales tax on behalf of the seller in certain jurisdictions.

8. Shipping, Fulfillment, and Risk of Loss

All shipping is the responsibility of the seller. Sellers must fulfill orders within the timeframe stated in their listing and must use reliable carriers that offer valid tracking numbers. Risk of loss passes to the buyer once the package is transferred to the carrier.

Gumliz is not responsible for items lost, damaged, or delayed in transit. Buyers are responsible for providing accurate delivery addresses and must accept liability for failed deliveries due to incorrect information.

9. Returns, Refunds & Disputes

Each seller sets their own return and refund policy, which must be clearly displayed in the product listing. Buyers should review such policies prior to purchase. Gumliz may, in its sole discretion, issue partial or full refunds in the event of proven fraud, misrepresentation, or non-fulfillment.

All disputes must be submitted through our support system within 30 calendar days of delivery or expected delivery. Gumliz will review the facts presented and may request documentation or evidence. Our decision in such cases is final and binding.

10. Intellectual Property

All content on Gumliz.com, including logos, branding, design elements, written content, and software, is the exclusive property of Gumliz or its licensors and is protected by copyright, trademark, and other applicable intellectual property laws.

Users may not reproduce, distribute, or create derivative works from any portion of the site without express written consent. By uploading listings or materials, you grant Gumliz a worldwide, non-exclusive, royalty-free license to use, display, and promote such content in connection with the platform’s operations and marketing.

11. Prohibited Uses

You agree not to use the platform to engage in any activity that:

• Violates applicable laws or regulations, including those regarding intellectual property, consumer protection, or export restrictions.
• Involves the sale of counterfeit, stolen, or unauthorized books or digital content.
• Attempts to exploit, disrupt, or damage the integrity of the platform or its users.
• Involves data scraping, unauthorized automation, or reverse engineering.

12. Limitation of Liability

To the fullest extent permitted under applicable law, Gumliz and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, loss of data, or reputational harm, arising out of or in connection with your use of the platform.

In any case, Gumliz’s aggregate liability for any claim shall not exceed the greater of one hundred U.S. dollars ($100 USD) or the total amount you paid Gumliz in service fees in the preceding twelve (12) months.

13. Termination and Suspension

We reserve the right to suspend, restrict, or terminate your account at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct detrimental to the platform, our users, or third parties.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. You agree that any legal action or proceeding relating to your use of the platform shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction of such courts and waive any objection to venue or forum non conveniens.

15. Amendments

Gumliz reserves the right to update or revise these Terms at any time. Such changes will be effective upon posting to the Website. Your continued use of the platform after any such modifications constitutes acceptance of the revised Terms.
